These Terms and Conditions ("Terms") govern your use of the Matchday Assistant mobile application (the "App"), provided by MANESH GmbH ("we", "our", or "us"). By downloading, installing, or using the App, whether in beta or in production, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

1.1 You must be at least 16 years old (or older if required by local law) to use the App.

1.2 By using the App, you represent and warrant that you meet all eligibility requirements and that your use complies with all applicable laws.

2. Scope of the App

2.1 The App is a skill-based football-prediction game. Users forecast the scores of real-world football matches in a matchday and compete for non-wagered rewards denominated in our in-game-currency.

2.2 This is not gambling. No purchase, wagering, or financial stake is required to participate. All rewards are earned purely through skillful prediction and accuracy.

3. License Grant

3.1 Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on devices that you own or control.

3.2 You agree not to:

Reverse engineer, decompile, or disassemble the App;
Modify, adapt, or create derivative works based on the App;
Circumvent or disable any security or usage restrictions in the App.

4. User Accounts & Security

4.1 To use certain features of the App, you must register for an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials.

4.2 You agree to notify us immediately of any unauthorized use of your account or any other security breach.

5. Privacy & Data Collection

5.1 Our Privacy Policy explains how we collect, use, and share your personal information. By using the App, you consent to our Privacy Policy.

5.2 We may collect device identifiers, analytics data, and other usage statistics to improve the App.

6. Rewards & Tokens

6.1 Rewards are issued in MATDY tokens on the Solana blockchain. We do not guarantee any specific token value or liquidity.

6.2 You are responsible for any wallet fees or transaction costs associated with token receipt.

7. Beta Disclaimer (if applicable)

7.1 If you are using a beta version (TestFlight or Android beta), the App may contain bugs or incomplete features. You agree that any beta software is provided "as-is" and that we do not guarantee stability or performance.

8. Intellectual Property

8.1 All rights, title, and interest in and to the App, including all copyrights, trademarks, and other intellectual property rights, belong to us or our licensors.

8.2 You agree not to remove or alter any proprietary notices in the App.

9. Disclaimers & Limitation of Liability

9.1 Disclaimer of Warranties. The App is provided "as-is" and "as available" without any warranties of any kind, whether express or implied.

9.2 Limitation of Liability. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the App.

10. Indemnification

You agree to indemnify, defend, and hold harmless MANESH GmbH and its affiliates from any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms or your use of the App.

11. Changes to these Terms

We may modify these Terms at any time. We will post the updated Terms with a new "Last updated"

date. Your continued use after changes constitutes acceptance.

12. Governing Law & Dispute Resolution

12.1 These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of laws principles.

12.2 Any dispute arising under these Terms shall be resolved exclusively in the courts of the Federal Republic of Germany.
